OFFICIAL CONTEST RULES

Contest Theme: Each entry will be posted online at http://www.bestofthebeats.com and voted on by the public. Prizes will be awarded based on tabulation of votes. The Grand Prize winner will be the entry that receives the most votes.

You may enter the Arts, Beats & Eats best of the bands contest by visiting http://www.bestofthebeats.com during the prize period, and following all online entry instructions including uploading and file/format requirements. All entries will require providing a band name, band representative, phone number, and e-mail address. If entering as a group, only the person in whose name the winning entry is titled will be deemed a winner. Only one band is eligible to win per prize. All subsequent entries by an individual will be disqualified. Contest ends at 6pm on Saturday September 5th 2009.

Only (1) entry will receive the Grand Prize. the winner will receive the prize as described on the Prizes page located on this website. Only children/wards of employees, officers and directors of Arts, Beats & Eats Inc., its affiliates, subsidiaries, co-branded partners, consultants, contractors, advertising, public relations, promotion, fulfillment and marketing agencies, their immediate families (and those living in their same households) are ineligible to participate in the contest.

Prizes are not transferable by prize winner. Except as otherwise stated herein, no substitution in prizes or cash will be allowed except by Arts, Beats, & Eats, Inc. its affiliates, co-branded partners, subsidiaries, retailers, agencies and their respective officers, directors, employees and agents, or any other participant of the grand prize, who may substitute a prize of equal or greater value in its sole or absolute discretion. Upon award of a prize, Arts, Beats, & Eats, Inc. will be deemed to have awarded the prize with the prize winner assuming full ownership and responsibility for the prize.

Arts, Beats & Eats Inc. reserves the right to (a) use an entrants name and likeness and reproduce/distribute all entries submitted in any and all media throughout the world in perpetuity without further compensation, unless prohibited by law (b) alter, amend, edit, or change entries prior to distribution and (c) use, distribute, reproduce, alter, amend, and copyright entries for purposes of advertising and trade without further compensation, unless prohibited by law.

Liability for any applicable taxes, including all federal, state, and local taxes and/or other fees that may apply to prizes are the sole responsibility of the prize winners. Any required tax reporting forms will be furnished to the Internal Revenue Service.

Arts, Beats & Eats, Inc. is not responsible for misdirected or undeliverable e-mail/text messages or for any technical problems, malfunctions of any telephone lines, cell phones, computer systems, servers, providers, hardware/software, lost or unavailable network connections, or failed, incomplete, garbled, or delayed computer transmission, or any combination thereof. Arts, Beats & Eats, Inc. reserves the right to disqualify any entry in good faith.

To vote, a valid e-mail address must be submitted. Limit one vote per e-mail account. If more than one vote is received from one e-mail account, only the first vote will be considered valid. Any use of unauthorized robotic, automatic, programmed, or the like methods of voting will void all such votes. Arts, Beats & Eats Inc. reserves the right to disqualify any vote in good faith. If, in Arts, Beats & Eats Inc. opinion, there is any suspected evidence of tampering with any portion of the voting, or if technical difficulties compromise the integrity of the contest Arts, Beats & Eats Inc. reserves the right to modify or terminate the contest in a manner deemed reasonable by the Arts, Beats & Eats Inc., at Arts, Beats & Eats Inc sole discretion.

By participating in the contest, participants agree to release, discharge and hold harmless Arts, Beats & Eats Inc., its affiliates, co-branded partners, subsidiaries, retailers, agencies and their respective officers, directors, employees and agents, from any damages that may arise out of participation in the contest in any way or out of the acceptance, use, misuse, or possession of a prize. By entering into this contest, you agree that any and all disputes, claims, or controversies (hereafter referred to as a "Claim") arising under or relating to this contest, including the validity or enforceability of this arbitration provision, shall be subject to binding arbitration to be determined by one arbitrator, in accordance with and pursuant to the then prevailing Code of Procedure of the National Arbitration Forum ("NAF"), to be held and arbitrated in the judicial district in which you live at the time of entering this contest. You agree you will not assert a Claim on behalf of, or as a member of, any group or class. The findings of the arbitrator shall be final and binding on all parties. Each party shall be responsible for its own fees and costs. This agreement to arbitrate, and any award or verdict will be specifically enforceable under the prevailing law of any court having jurisdiction. Notice of the demand for arbitration will be filed by the party asserting the Claim with NAF. The demand for arbitration shall be made within a reasonable time after the Claim in question has arisen, and in no event shall any such demand be made after the date when institution of legal or equitable proceedings based on such Claim would be barred by the applicable statute of limitations. Any arbitration proceeding and any award or verdict shall remain confidential between the parties and shall not be made public. This contest is conducted in English (which will be given its everyday ordinary meaning). This contest is sponsored by Arts, Beats & Eats Inc. and governed by the laws of the United States with venue in Oakland County, Michigan.
